Terms of Service

1. Acceptance of Terms

By accessing or using Gen Designs ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service. These terms constitute a legally binding agreement between you and Gen Designs.

2. Description of Service

Gen Designs is an AI-powered UI prototyping platform that allows users to generate web and mobile screen designs through conversational AI interactions. The Service includes:

  • AI-assisted design generation based on text prompts
  • Visual design editor with customization tools
  • Theme generation and customization
  • Code export functionality
  • Project management features
  • Design preview capabilities

3. Eligibility

To use the Service, you must:

  • Be at least 13 years of age (or 16 years if you reside in the European Economic Area)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

4. User Accounts

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account
  • Not share your account credentials with others
  • Not create multiple accounts for abusive purposes

We reserve the right to suspend or terminate accounts that violate these terms or are inactive for extended periods.

5. User Content and Intellectual Property

Your Content: You retain ownership of the designs, prompts, and content you create using the Service. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content as necessary to provide and improve the Service.

Our Content: The Service, including its original content, features, functionality, branding, and underlying technology, is owned by Gen Designs and is protected by international copyright, trademark, patent, and other intellectual property laws.

Feedback: If you provide feedback or suggestions about the Service, you grant us the right to use such feedback without restriction or compensation.

6. AI-Generated Content

The Service uses artificial intelligence to generate designs based on your prompts. Regarding AI-generated content:

  • You own the AI-generated outputs created through your use of the Service
  • We make no guarantees regarding the accuracy, quality, or completeness of AI-generated content
  • We do not guarantee that AI outputs will be original or non-infringing
  • You are responsible for reviewing and verifying AI-generated content before use
  • Similar prompts from different users may produce similar outputs

You acknowledge that AI technology has limitations and may produce unexpected or imperfect results.

7. Acceptable Use

You agree not to use the Service to:

  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Violate any applicable laws, regulations, or third-party rights
  • Infringe on the intellectual property rights of others
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Interfere with or disrupt the Service, servers, or networks
  • Use automated systems, bots, or scrapers to access the Service without permission
  • Transmit viruses, malware, or other malicious code
  • Engage in any activity that could damage, disable, or impair the Service
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Resell or redistribute the Service without authorization

8. Subscription and Payments

Certain features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your chosen subscription plan
  • Provide valid and accurate payment information
  • Accept that subscriptions automatically renew unless cancelled before the renewal date
  • Understand that tokens or credits do not expire and roll over between billing periods

We reserve the right to modify pricing with reasonable notice. Price changes will not affect your current billing period but will apply to subsequent renewals.

9. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access to paid features until the end of your current billing period
  • Any remaining tokens or credits will be retained indefinitely
  • Your account and projects will remain accessible on the free tier

Refund Policy: All sales are final. We do not offer refunds for subscription fees, token purchases, or any other payments made for the Service. We encourage you to use our free tier to evaluate the Service before subscribing.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including:

  • Violation of these Terms of Service
  • Conduct that we determine is harmful to the Service or other users
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will remain in effect.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY AI-GENERATED CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEN DESIGNS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA; (C) ANY AI-GENERATED CONTENT; OR (D) ANY THIRD-PARTY CONDUCT OR CONTENT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Gen Designs and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your content or prompts; or (e) any AI-generated content you create or distribute.

14. Dispute Resolution

Informal Resolution: Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at hello@gendesigns.ai. We will attempt to resolve the dispute within 30 days.

Arbitration: If informal resolution fails, any dispute shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if eligible. Arbitration shall be conducted in accordance with applicable arbitration rules.

Class Action Waiver: YOU AND GEN DESIGNS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to trade sanctions or embargoes, and you are not on any denied parties list.

16. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice by posting a notice on our website or sending an email to registered users. Your continued use of the Service after such modifications constitutes acceptance of the updated terms. If you do not agree to the modified terms, you must stop using the Service.

17. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Gen Designs regarding the Service.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
  • Force Majeure: We are not liable for any failure or delay due to circumstances beyond our reasonable control.
  • Survival: Provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution survive termination.
